AGREEMENT TO TERMS
By placing an order with Keepsake Flowers & More, you agree to the following Sales Terms and Conditions.
All sales are final.
Thank you for choosing Keepsake Flowers & More (KeepsakesbyTessa.com) for your floral preservation and/or gifting needs!
Keepsake Flowers & More ("KFM" or "us" or "our" or "we") is a registered business in the state of Ohio. KFM holds a vendor's license, which requires us to collect, report, and pay the sales tax rate of Delaware, Ohio (7%) for all orders placed by Ohio clients ("client" or "you"). There may or may not be a use tax for which you, the client, are responsible for in accordance to your state/county/city tax laws.
As is the precarious nature with live flowers, we cannot guarantee the preservation outcome. Once we receive your flower(s), we will email you our pre-preservation assessment and the expected/anticipated outcome of preservation. Our pre-preservation assessment will document any damage or spoilage that has already occurred to your flowers, for which we will not be held liable. We will also communicate any concerns we may have regarding your blossoms, nevertheless doing everything within our power to provide you with a keepsake you will cherish.
Concerns regarding color fading or color variations after preservation have been thoroughly addressed in the Frequently Asked Questions section of KeepsakesbyTessa.com. Both are normal occurrences as governed by the laws of nature, for which we cannot be held liable. The longevity of your display also depends on how it is cared for, stored, and/or displayed by you. A paper copy of "Caring for Your Display" will be sent to you with your display.
Rush orders are an option, but are subject to additional fees depending on a number of factors (quantity and complexity of displays, as well as the date they need to be completed by). Rush shipping is also available at your expense. Any rush orders/shipments should be made well in advance, and must be clearly documented through correspondence.
We reserve the right to photograph or create videos of keepsakes, whether completed or in various stages of creation, to be used exclusively for business or artistic purposes. This may include marketing, advertising, public, or community events. All displays are expected to be showcased in our online gallery at KeepsakesbyTessa.com. Names and faces (or otherwise identifiable markers) will be blurred out for the anonymity of our clients. Identifiable information given freely and willingly for a voluntary testimonial will not be blurred. If you do not wish to have your display showcased anywhere other than in our online gallery, please inform us in writing or via email at info@keepsakesbytessa.com.
PAYMENT
Any checks returned unpaid by client's financial institution will be subject to a $50 charge.
If we are preserving one or more of your flowers:
As is outlined in "How To Order", we do not require payment up front, nor do we ask for a deposit prior to preserving your flower(s). However, we do require payment in full before we send you the final product. We ask our clients not to wait longer than 30 days after the invoicing date to make a payment. After 60 days, a storage fee of $10 per week may be charged. In special circumstances, we may re-negotiate in writing a different payment plan. After 90 days, if no alternate agreement has been reached, the sale will be considered cancelled and flowers disposed of.
If you are ordering one of our flowers:
Once you have reserved one of our flowers, we will email you an invoice, which will be due within one full week (5 business days). If no payment has been received by the end of the reservation period, we will list the flower as available and cancel the invoice.
RETURNS, DAMAGES, AND ALTERATIONS
Being that we create and provide original artwork, all sales are final. As soon as you receive your display, inspect it for any obvious damage that may have occurred during shipping. Damages must be reported to us within 24-48 hours after delivery. Any unreported damages or corrections needed after the 48 hour time frame will be charged to the client in full, which includes the cost of shipping, materials, and labor. KFM's liability is limited up to the full price of the display, or lesser amount which has been paid if payment arrangements had been documented (not to include the original cost of shipping your flowers to us). Furthermore, any alterations requested after completion, whether before or after delivery, will be subject to additional charges.

Please be aware that there may be small imperfections, such as knots in wood, bubbles or warps in glass, etc. Rest assured, we use a great deal of scrutiny when selecting raw materials and will not send you anything we ourselves wouldn't accept.
ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting KeepsakesbyTessa.com, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on KeepsakesbyTessa.com, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require any original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
GOVERNING LAW
This agreement will be governed by the laws of Ohio and location for any dispute will be in Delaware County, Ohio. In any dispute, the prevailing party will be entitled to recover fees and costs.
We reserve the right to refuse any order at our discretion.

Personal Data
Personally identifiable information, such as your name, shipping address, email address, telephone number, and demographic information, such as your age, gender, hometown, and interests, that you voluntarily give to us when you choose to participate in allowing us to serve you, such as filling out and submitting forms, and through email correspondence. You are under no obligation to provide us with personal information of any kind, however your refusal to do so may prevent you from gaining the best experience possible through correspondence and the best possible outcome for your uniquely designed display.
Financial Data
Financial information, such as data related to your payment method (e.g. valid credit card number, card brand, expiration date) that we may collect when you purchase, order, return, exchange, or request information about our services from the Site. We store only very limited, if any, financial information that we collect. Otherwise, all financial information is stored by our payment processor, PayPal, and you are encouraged to review their privacy policy and contact them directly for responses to your questions.
Data from Contests, Giveaways, and Surveys
Personal and other information you may provide when entering contests or giveaways and/or responding to surveys.
USE OF YOUR INFORMATION
Having accurate information about you permits us to provide you with a smooth, efficient, and customized experience. Specifically, we may use information collected about you via the Site to:

CONTROLS FOR DO-NOT-TRACK FEATURES

California Civil Code Section 1798.83, also known as the "Shine The Light" law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site. Nothing in these Website Terms of Use will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.
GOVERNING LAW
These Website Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Ohio applicable to agreements made and to be entirely performed within the State of Ohio, without regard to its conflict of law principles.
DISPUTE RESOLUTION
Binding Arbitration
If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Delaware County, Ohio. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Delaware County, Ohio, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Website Terms of Use.
If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
CORRECTIONS
There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.
DISCLAIMER
THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
